Terms of Service - 1Bridge Vault

1. Acceptance of Terms

By accessing or using 1Bridge Vault ("the Service"), operated by 1Bridge International LLC ("1Bridge", "we", "us", or "our"), a company incorporated in the United Arab Emirates, you agree to be bound by these Terms of Service ("Terms"). If you do not agree with any part of these Terms, you must not use the Service.

By creating an account, clicking "Sign in", or otherwise using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy, which is incorporated by reference.

2. Description of the Service

1Bridge Vault is a secure personal document vault that allows you to store sensitive documents with client-side encryption and share them with third parties through expiring, access-controlled links. Key features include:

Client-Side Encryption: Documents are encrypted in your browser using AES-256-GCM before being uploaded to our servers.
Zero-Knowledge Architecture: We never receive or store your vault password or cleartext encryption keys.
Secure Sharing: Share documents via time-limited links with email OTP verification for recipients.
Team Collaboration: Invite team members as delegates to help manage share requests on your behalf.
Watermarking: Documents are watermarked when accessed by recipients for traceability.
Audit Trail: Complete logging of all access events for accountability.

3. Eligibility and Account Registration

3.1 Age Requirement

You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you meet this age requirement.

3.2 Account Creation

To use the Service, you must create an account using a valid email address. You may authenticate via email magic link or Google OAuth. You agree to provide accurate and complete information during registration and to keep your account information up to date.

3.3 Account Security

You are solely responsible for maintaining the security of your account credentials and vault password. You agree to notify us immediately if you suspect any unauthorized access to your account. We are not liable for any loss or damage arising from your failure to safeguard your account.

3.4 One Account Per User

Each account is personal to the individual who created it. You may not share your account credentials with others or allow multiple people to use a single account.

4. User Responsibilities

4.1 Vault Password

Your vault password is used to derive the encryption key that protects your documents. Due to our zero-knowledge architecture:

Critical: We cannot recover your vault password. If you lose your vault password, your encrypted documents will be permanently inaccessible. We have no ability to reset, recover, or bypass the encryption. It is your sole responsibility to remember and securely store your vault password.

4.2 Content Responsibility

You are solely responsible for all content you upload, store, or share through the Service. You represent and warrant that you have the legal right to store and share any documents you upload and that your content does not violate any applicable laws or third-party rights.

4.3 Compliance with Laws

You agree to use the Service in compliance with all applicable local, national, and international laws and regulations, including but not limited to data protection and privacy laws.

4.4 Team Members and Delegates

If you invite team members (delegates) to your vault, you remain responsible for their actions performed within your vault. Delegates can create share requests on your behalf, but all share links require your explicit approval before being generated.

5. Acceptable Use Policy

You agree not to use the Service to:

Store, share, or distribute any content that is illegal, fraudulent, defamatory, or infringes on the rights of others
Upload malware, viruses, or other harmful code
Attempt to gain unauthorized access to the Service, other users' accounts, or our infrastructure
Circumvent, disable, or interfere with any security features of the Service
Use the Service for any activity that facilitates money laundering, terrorism financing, or other financial crimes
Scrape, data-mine, or use automated tools to access the Service without our prior written consent
Resell, sublicense, or redistribute the Service to third parties without authorization
Impersonate another person or entity or misrepresent your affiliation

We reserve the right to investigate and take appropriate action, including suspending or terminating your account, if we reasonably believe you have violated this Acceptable Use Policy.

6. Data Ownership and Content

6.1 Your Content

You retain full ownership of all documents and content you upload to the Service. We do not claim any intellectual property rights over your content. Because your documents are encrypted client-side, we cannot access, view, or use your cleartext content.

6.2 License to Operate

By using the Service, you grant us a limited, non-exclusive license to store and transmit your encrypted content solely for the purpose of providing the Service to you. This license terminates when you delete your content or your account.

6.3 Sharing and Access

When you create a share link, the designated recipient will be able to view and download the shared documents for the duration of the link. You are responsible for ensuring you share documents only with intended recipients. Once a share link is created, access is controlled through email OTP verification and link expiration.

7. Intellectual Property

The Service, including its design, software, code, user interface, graphics, trademarks, and all related intellectual property, is owned by 1Bridge International LLC and is protected by applicable intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service, nor may you reverse-engineer or attempt to extract the source code, except as permitted by law.

8. Service Availability and Modifications

8.1 Availability

We strive to provide a reliable service, but we do not guarantee that the Service will be available at all times or without interruption. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.

8.2 Modifications

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We will make reasonable efforts to notify you of significant changes that may affect your use of the Service.

8.3 Data Export

You may download your documents at any time while your account is active and your vault is unlocked. We recommend maintaining your own backup copies of important documents.

9. Limitation of Liability

9.1 Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

9.2 Limitation

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL 1BRIDGE INTERNATIONAL LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF PROFITS, OR LOSS OF BUSINESS OPPORTUNITIES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

9.3 Password Loss

Due to the zero-knowledge nature of the Service, we are not liable for any data loss resulting from a forgotten or lost vault password. It is your sole responsibility to maintain access to your vault password.

10. Termination

10.1 By You

You may stop using the Service and request account deletion at any time by contacting us. Upon deletion, your encrypted data and account information will be permanently removed from our systems in accordance with our data retention policies.

10.2 By Us

We may suspend or terminate your access to the Service at any time if we reasonably believe that you have violated these Terms, engaged in fraudulent or illegal activity, or if required by law. Where possible, we will provide notice before termination and an opportunity to export your data.

10.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. All active share links associated with your vault will be revoked. Sections of these Terms that by their nature should survive termination (such as Limitation of Liability, Intellectual Property, and Governing Law) will continue to apply.

11. Compliance Disclaimers

Important: 1Bridge Vault is designed for personal and small-business document management. The Service is not tailored to meet the requirements of industry-specific regulatory frameworks such as HIPAA, FISMA, GLBA, PCI-DSS, or SOC 2. If your use case requires compliance with such regulations, you should evaluate whether the Service meets your specific requirements before use.

12. Modifications to These Terms

We may update these Terms from time to time. When we make changes, we will update the "Last Updated" date at the top of this page. If we make material changes, we will make reasonable efforts to notify you (for example, via email or an in-app notification). Your continued use of the Service after any changes constitutes your acceptance of the updated Terms.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates, without regard to conflict-of-law principles. 1Bridge International LLC is incorporated in the United Arab Emirates.

Any disputes arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If a resolution cannot be reached, the dispute shall be submitted to the competent courts of the United Arab Emirates.

14. General Provisions

Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and 1Bridge International LLC regarding the Service.
Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
Waiver: Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
Assignment: You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
